Acceptance of Terms

By accessing and using SQL Server PHIPA Auditor ("the Application"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the Application.

Important: This Application is designed for authorized personnel only. Unauthorized access or misuse may result in legal consequences and is subject to criminal prosecution under applicable laws.

License and Access
1. Limited License

Subject to these Terms of Use, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your organization's internal compliance and audit monitoring purposes.

2. Authorized Use

You may use the Application only if you are:

An authorized employee or contractor of the licensing organization

Assigned appropriate roles and permissions by a system administrator

Properly trained on PHIPA compliance and data security protocols

3. Prohibited Activities

You may NOT:

Unauthorized Access

Access systems or data beyond your authorized scope

Data Misuse

Export, share, or disclose audit data to unauthorized parties

Reverse Engineering

Decompile, reverse engineer, or attempt to extract source code

System Tampering

Interfere with or disrupt the Application's functionality


User Responsibilities
Responsibility Description
Account Security Maintain confidentiality of login credentials; do not share accounts
Data Protection Follow PHIPA guidelines when handling audit data and reports
Accurate Information Provide accurate information when configuring audit controls
Incident Reporting Report security incidents or data breaches immediately
Compliance Training Complete required PHIPA and security awareness training
Session Management Log out when finished; do not leave sessions unattended

Data Ownership and Intellectual Property
1. Your Data

You retain ownership of all audit data, reports, and configurations created through the Application. We act as a data processor on your behalf.

2. Application Ownership

The Application, including its source code, design, functionality, and documentation, is proprietary and protected by copyright and intellectual property laws.

All trademarks, logos, and service marks displayed in the Application are the property of their respective owners.

Service Availability and Support
1. Uptime

While we strive for 99.9% uptime, we do not guarantee uninterrupted access. The Application may be unavailable due to maintenance, updates, or unforeseen circumstances.

2. Scheduled Maintenance

We will provide advance notice of scheduled maintenance windows whenever possible. Emergency maintenance may occur without notice.

3. Support

Support is provided according to your service level agreement (SLA). Contact your system administrator or support team for assistance.


Limitation of Liability

To the maximum extent permitted by law:

1. No Warranty: The Application is provided "AS IS" without warranties of any kind, either express or implied.

2. Limited Liability: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Application.

3. Maximum Liability: Our total liability shall not exceed the amount paid for the Application license in the 12 months preceding the claim.


Indemnification

You agree to indemnify and hold harmless the Application providers from any claims, damages, or expenses arising from:

Your violation of these Terms of Use

Your violation of PHIPA or other applicable laws

Unauthorized access or misuse of the Application

Data breaches resulting from your negligence


Termination
1. By You

You may terminate your access at any time by contacting your system administrator.

2. By Us

We reserve the right to suspend or terminate your access immediately, without notice, for:

3. Effect of Termination

Upon termination, your access rights cease immediately. Data retention follows the Privacy Policy and applicable regulations.


Governing Law and Jurisdiction

These Terms of Use are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

This Application must be used in compliance with PHIPA (Personal Health Information Protection Act, 2004) and all applicable healthcare privacy regulations.

Changes to These Terms

We reserve the right to modify these Terms of Use at any time. Material changes will be communicated through the Application, and the "Last Updated" date will be revised.

Continued use of the Application after changes constitutes acceptance of the updated Terms of Use. If you do not agree, you must discontinue use immediately.
